Terms of Service

These Terms of Service ("Terms") govern your access to and use of PropTrac, including our websites, applications, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If you do not agree, do not use the Service.

PropTrac is a software platform that helps traders organize prop-firm accounts, track challenges, expenses, payouts, journals, and related desk metrics.

PropTrac is not:

• A prop trading firm, broker, exchange, or payment processor for trading capital
• An investment adviser, financial planner, tax adviser, or legal adviser
• A guarantee of funding, payouts, challenge results, or trading performance
• A substitute for the rules, agreements, or platforms of any prop firm you use

Information you enter about firms, fees, drawdowns, or payouts is for your operational tracking. Always verify critical details against the firm or broker that issued your account.

You must be at least 18 years old (or the age of majority where you live) to use the Service. You are responsible for:

• Providing accurate registration information
• Keeping your login credentials confidential
• All activity that occurs under your account
• Promptly notifying us if you suspect unauthorized access

We may require email verification, multi-factor checks, or other security steps. We may suspend or terminate accounts that appear compromised, abusive, or in violation of these Terms.

Some features require a paid subscription or other paid entitlements. Plan limits, pricing, and included capabilities are described on our pricing pages or in-product at the time of purchase.

• Fees are charged in the currency shown at checkout unless stated otherwise
• Unless a plan says otherwise, subscriptions renew automatically until canceled
• You can cancel or change plans through your account settings or by contacting support; changes take effect according to the billing cycle shown at the time
• Taxes may apply based on your location
• Refunds, if any, are handled under our then-current refund practices and applicable law

Free trials or promotional access may be limited, revoked, or modified at our discretion when abused or when the promotion ends.

You retain ownership of the account data, trade notes, uploads, and other materials you submit to the Service ("Your Content"). You grant PropTrac a limited license to host, process, display, and back up Your Content solely to operate and improve the Service, provide support, and comply with law.

You represent that Your Content and your use of the Service will not:

• Infringe others’ rights or violate applicable law
• Include malware or attempt to disrupt the Service
• Misrepresent your identity or affiliation in a harmful way
• Upload personal data you are not permitted to process

You can export or delete eligible data through product features where available, subject to technical limits and our Privacy Policy.

You agree not to:

• Probe, scan, or attack the Service, or bypass authentication or rate limits
• Scrape the Service in a way that harms availability or violates robots/API rules
• Resell, sublicense, or provide the Service to third parties except as allowed by your plan (for example, team seats)
• Use the Service to build a competing product using non-public PropTrac materials
• Harass other users, or use the Service for fraud, spam, or illegal activity
• Misuse support channels or automated systems (including AI features) to generate harmful content

The Service may link to or integrate with third parties (for example, payment providers, email/SMS, analytics, catalog data, or prop-firm websites). Those services are governed by their own terms and privacy policies. PropTrac is not responsible for third-party content, availability, or decisions—including challenge approvals, account breaches, or payouts made by prop firms.

PropTrac may offer AI-assisted help, insights, or drafting tools. Outputs can be incomplete, outdated, or incorrect. Do not treat AI outputs as financial, tax, legal, or trading advice. You remain responsible for decisions you make based on any automated suggestions.

The Service, including software, branding, design, documentation, and catalog structures we create, is owned by PropTrac and its licensors. These Terms do not transfer ownership to you. You may not copy, reverse engineer (except where law prohibits that restriction), or remove proprietary notices from the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPTRAC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA YOU OR THIRD PARTIES SUPPLY.

We do not warrant uninterrupted or error-free operation, that defects will be corrected, or that metrics, catalog fees, or imported trades are complete or correct.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPTRAC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, LOST TRADING OPPORTUNITY, LOST DATA, OR BUSINESS INTERRUPTION—EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID US.

Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent allowed by law.

You will defend and indemnify PropTrac and its affiliates against claims, damages, and expenses (including reasonable attorneys’ fees) arising from Your Content, your misuse of the Service, or your violation of these Terms or applicable law.

You may stop using the Service at any time and may request account deletion through available product controls or by contacting support.

We may suspend or terminate access immediately if we reasonably believe you violated these Terms, create risk for other users or the platform, fail to pay fees when due, or if we discontinue the Service. Upon termination, your license to use the Service ends. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive.

We may update the Service and these Terms from time to time. When we make material changes, we will post an updated effective date and, where appropriate, provide additional notice (for example, email or in-app). Continued use after the effective date constitutes acceptance of the updated Terms, except where applicable law requires a different process.

These Terms are the entire agreement between you and PropTrac regarding the Service and supersede prior agreements on the same subject. If a provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Governing law and venue will be determined by where PropTrac operates and by mandatory consumer protections that apply to you. Nothing in these Terms limits non-waivable consumer rights.
